Agreement & services

We are Cogmeta Ltd. ("Company", "we", "us", "our"), a company registered in the United Kingdom at 71-75 Shelton Street, London WC2H 9JQ. We operate the website cogmeta.ai and the related products and services that link to these legal terms (collectively, the "Services"). You can reach us at [email protected].

These Legal Terms are a binding agreement between you (whether personally or on behalf of an entity) and Cogmeta Ltd. concerning your access to and use of the Services. By accessing the Services you confirm that you have read and agree to them. If you do not agree, do not use the Services.

Supplemental terms or documents posted on the Services from time to time are incorporated by reference. We may update these Legal Terms; the "Last updated" date at the top reflects the current version. Material changes are communicated to registered users with at least 30 days' notice — see Term & termination.

The Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to use or register for the Services.

Alpha-stage. Talon is in alpha. There is no formal SLA at this stage; we aim for high availability but do not contractually guarantee an uptime number until General Availability. We notify registered users of material terms changes 30 days in advance.

Our Services

The Services are not tailored to comply with industry-specific regulations such as HIPAA, FISMA, or GLBA. If your interactions would be subject to such laws, you may not use the Services in their default configuration. Regulated-sector enquiries: /contact?topic=enterprise.

The Services are operated from the United Kingdom. Where you choose to access them from another jurisdiction, you do so on your own initiative and are responsible for compliance with local law to the extent local laws apply.

Intellectual property

Our intellectual property

We are the owner or licensee of all intellectual property rights in the Services, including the source code, databases, functionality, software, designs, text, photographs, graphics (collectively, the "Content"), and the trademarks, service marks, and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright, trademark, and other intellectual-property laws and treaties.

The Content and Marks are provided "AS IS" for your personal, non-commercial use or internal business purpose only.

Your use of the Services

Subject to your compliance with these Legal Terms (including the Acceptable use section), we grant you a non-exclusive, non-transferable, revocable licence to:

  • access the Services; and
  • download or print a copy of any Content to which you have properly gained access,

solely for your personal, non-commercial use or internal business purpose. Except as set out in these Legal Terms, no part of the Services or Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for commercial purpose without our prior written permission. Permission requests: [email protected].

Your code

Talon indexes your code locally. We do not claim any ownership or licence over your source code. Talon indexes your code locally — your repository is not uploaded, and only structural metadata (the categories enumerated on our Privacy Policy) is sent to the Talon cloud over TLS for graph storage and scoring. Because Talon proxies your agent's calls to the model, your prompts and the model's responses — including any source, diffs, or context they contain — transit Cogmeta's servers on the way to and from the provider, so Talon can inject context and measure cost. This traffic is processed only to deliver the service and is never used to train any model. A self-hosted ("Air-Gap") mode that keeps the structural graph on your own network is on the post-alpha roadmap.

Submissions

Where you send us questions, comments, suggestions, ideas, feedback, or other information about the Services ("Submissions"), you agree that we may use the substance of those Submissions to improve the Services without acknowledgment or compensation to you. You confirm Submissions are original to you (or that you have the necessary rights to share them) and that they do not contain confidential information.

Your account

Representations

By using the Services, you represent and warrant that: (1) all registration information you provide is true, accurate, current, and complete; (2) you will keep that information up to date; (3) you have the legal capacity to enter these Legal Terms; (4) you are not a minor in your jurisdiction; (5) you will not access the Services through automated or non-human means (bots, scripts, scrapers); (6) you will not use the Services for any illegal or unauthorised purpose; and (7) your use of the Services will not violate applicable law or regulation.

If any information you provide is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse current or future use of the Services.

Registration

You may be required to register to use parts of the Services. You agree to keep your password and API credentials confidential and are responsible for activity under your account. We may remove, reclaim, or change a username we determine to be inappropriate or otherwise objectionable.

User data

We maintain data you transmit to the Services for the purpose of operating them, plus data relating to your use of the Services. We perform routine backups, but you remain solely responsible for the data you transmit. To the extent permitted by law, you waive claims against us arising from loss or corruption of such data — though our retention and resilience commitments are documented at /privacy#retention.

Payments & subscriptions

Accepted payment methods

Major credit and debit cards (Visa, Mastercard, American Express) processed through Stripe. Additional methods may be added at General Availability and will be listed at General Availability.

You agree to provide current, complete, and accurate purchase and account information. Sales tax (VAT) is added to the price of purchases as required. All payments are in the local currency offered at checkout.

You authorise us to charge your chosen payment provider for amounts owed when you place an order. We may correct pricing errors even if we have already requested or received payment, and we may refuse or limit any order in our reasonable discretion.

Subscriptions — billing & renewal

Paid plans renew automatically until cancelled. By subscribing you consent to recurring charges to your payment method without prior approval for each renewal, until you cancel. The standard billing cycle is monthly.

Cancellation

You can cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current paid term — you keep access until then. Questions or concerns: [email protected].

Fee changes

We may change subscription fees from time to time. We will notify registered users by email at least 30 days before any material price change takes effect, in line with applicable law.

Software licence

The Services may include software (including the Talon CLI and indexer) for use in connection with the Services. If that software is accompanied by an end-user licence agreement ("EULA"), the EULA governs your use. If no EULA is provided, we grant you a non-exclusive, revocable, personal, non-transferable licence to use the software solely in connection with the Services and in accordance with these Legal Terms.

Any software and related documentation is provided "AS IS" without warranty of any kind, either express or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. You accept any and all risk arising out of use or performance of the software. You may not reproduce or redistribute the software except as permitted by the applicable EULA or these Legal Terms.

Acceptable use

You may not access or use the Services for any purpose other than that for which we make them available. Without limiting the generality of the foregoing, you agree not to:

  • Systematically retrieve data or other content from the Services to create or compile a collection, compilation, database, or directory without our written permission.
  • Trick, defraud, or mislead us or other users — particularly in attempts to learn sensitive account information such as passwords or API keys.
  • Circumvent, disable, or interfere with security-related features of the Services, including features that prevent or restrict use or copying of any Content.
  • Use the Services in a manner inconsistent with any applicable law or regulation.
  • Engage in unauthorised framing of or linking to the Services.
  • Upload or transmit viruses, Trojan horses, or other code that interferes with the operation of the Services or any user's enjoyment of them.
  • Engage in automated use of the Services beyond what is permitted by your plan — e.g. running scripts that exceed published rate limits.
  • Delete copyright or other proprietary-rights notices from any Content.
  • Impersonate another user or person.
  • Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to them.
  • Harass, intimidate, or threaten any of our personnel or contractors involved in providing the Services.
  • Attempt to bypass any measures designed to prevent or restrict access to the Services.
  • Copy or adapt the Services' software (including any HTML, JavaScript, or other code) other than as expressly permitted.
  • Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising the Services.
  • Use any data-mining, robots, or similar gathering or extraction tools, except for standard search-engine indexing of public pages.
  • Use the Services to advertise or offer to sell goods and services to other users without our written permission.
  • Use the Services as part of any effort to compete with us or to support a competing product.

User-generated contributions

The Services do not currently invite users to post public content. Where we provide an opportunity to create, submit, post, or transmit content ("Contributions") — for example feedback threads or shared workspaces — Contributions may be viewable by other users of that surface and treated in accordance with our Privacy Policy. When you create or transmit Contributions, you represent that they: do not infringe third-party intellectual-property or publicity rights; are not false, harassing, defamatory, or unlawful; and do not violate any applicable law or regulation.

Contribution licence

You retain ownership of your Contributions. By submitting Contributions you grant us a worldwide, royalty-free, non-exclusive licence to host, store, transmit, display, and reproduce them solely as needed to operate the Services. By submitting feedback or suggestions, you agree that we may use such feedback for any purpose without compensation.

Services management

We reserve the right (but not the obligation) to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our reasonable judgement, violates the law or these Legal Terms; (3) refuse, restrict access to, limit availability of, or disable any of your Contributions or any portion of them; (4) remove or otherwise disable files and content that are excessive in size or burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and to facilitate the proper functioning of the Services.

Privacy

We care about data privacy and security. Please review our Privacy Policy at cogmeta.ai/privacy. By using the Services, you agree to be bound by the Privacy Policy, which is incorporated into these Legal Terms by reference. The Privacy Policy is the authoritative description of what data we collect, how it flows, where it's hosted, and how long we keep it.

Talon's structural-graph metadata is hosted in AWS eu-west-2 (London), with provider-specific terms (e.g. Anthropic, Stripe, Resend) flowing through our standard subprocessor agreements as listed on /privacy#subproc.

For EU customers, transfers from the EU to the UK rely on the European Commission's UK adequacy decision (June 2021, renewed 2025). Where adequacy is unavailable for any onward transfer, we use the UK International Data Transfer Agreement (IDTA) or the EU Standard Contractual Clauses with the UK Addendum, as appropriate.

Term & termination

These Legal Terms remain in effect while you use the Services. Without limiting any other provision, we reserve the right, in our reasonable discretion, to deny access to and use of the Services to any person where there is a material breach of these Legal Terms or applicable law. We may terminate your use or participation in the Services and delete your account and any content or information you posted at any time, with or without notice, where required to protect the Services, our users, or third parties.

If we terminate or suspend your account for cause, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party. We may also pursue civil, criminal, and injunctive remedies in addition to or instead of suspending the account.

Upon termination, account data is deleted within 30 days other than records we are legally required to retain (e.g. invoices for tax purposes — see /privacy#retention). You may export workspace data before termination using the export tools described on /docs. Export tools remain accessible for 30 days after termination, in line with the data-deletion grace period above; after that, irreversible deletion is performed and erasure proof is available on request.

Modifications & interruptions

We may change, modify, or remove the contents of the Services at any time at our reasonable discretion. We will not be liable to you or any third party for any modification, price change communicated under Payments & subscriptions, suspension, or discontinuance of the Services not made in breach of these Legal Terms.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems, or need to perform maintenance, resulting in interruptions, delays, or errors. Material changes that are not routine will be communicated to affected users directly.

Governing law & disputes

Governing law

These Legal Terms are governed by and interpreted in accordance with the laws of England & Wales. The use of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. If your habitual residence is in the EU and you are a consumer, you additionally retain the protections of any mandatory provisions of the law in your country of residence. The parties submit to the non-exclusive jurisdiction of the courts of England, meaning consumers may bring a claim in their country of residence in the EU as well as the UK.

Dispute resolution — informal negotiation

To expedite resolution and control the cost of any dispute, controversy, or claim relating to these Legal Terms (each a "Dispute"), the parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating any formal proceedings. Informal negotiations commence upon written notice from one party to the other.

Binding arbitration

Where informal negotiation does not resolve a Dispute, the Dispute shall be determined by one arbitrator chosen in accordance with the Arbitration and Internal Rules of the European Court of Arbitration (part of the European Centre of Arbitration, seat Strasbourg). The seat of arbitration shall be London, United Kingdom. The language of proceedings shall be English. Substantive law shall be the law of England & Wales.

Restrictions

The parties agree that any arbitration shall be limited to the Dispute between them individually. To the fullest extent permitted by law, (a) no arbitration shall be joined with another proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to use class-action procedures; and (c) there is no right or authority for any Dispute to be brought in a representative capacity on behalf of the public or any third party.

Exceptions

The following Disputes are not subject to the informal-negotiation and binding-arbitration provisions above: (a) Disputes seeking to enforce or protect, or concerning the validity of, any intellectual-property rights of a party; (b) Disputes related to allegations of theft, piracy, invasion of privacy, or unauthorised use; and (c) any claim for injunctive relief. If this provision is found to be unlawful or unenforceable, the affected Disputes shall be decided by a court of competent jurisdiction within the courts identified above, and the parties agree to submit to that court's personal jurisdiction.

Disclaimers & liability

Corrections

The Services may contain typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and similar information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information on the Services at any time, without prior notice.

Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR APPLICATIONS LINKED TO THE SERVICES, AND WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (2) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES; (3) ANY UNAUTHORISED ACCESS TO OR USE OF OUR SECURE SERVERS; (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; (5) ANY BUGS, VIRUSES, OR THE LIKE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY; OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES.

Limitation of liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE ONE (1) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING. CERTAIN STATE OR INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IF THOSE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

Indemnification

You agree to defend, indemnify, and hold us harmless — including our subsidiaries, affiliates, officers, agents, partners, and employees — from any loss, damage, liability, claim, or demand (including reasonable legal fees) made by a third party due to or arising out of: (1) your use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties set forth in these Legal Terms; (4) your violation of the rights of a third party, including intellectual-property rights; or (5) any overt harmful act toward another user of the Services with whom you connected via the Services. We reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of such claims. We will use reasonable efforts to notify you of any such claim upon becoming aware of it.

Electronic communications

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide to you electronically (via email and on the Services) satisfy any legal requirement that such communication be in writing.

YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES.

You waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, except where prohibited by mandatory consumer-protection law.

California users

If a complaint with us is not satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 / (916) 445-1254.

LLM non-determinism

Talon orchestrates large-language-model (LLM) providers on your behalf. Due to the non-deterministic nature of LLMs, we cannot guarantee that any model will deliver identical results across runs given identical inputs. Outcomes may vary across sessions, models, and provider-side updates outside our control.

Cogmeta is not liable for poor model outcomes, increases in your provider-side costs, downstream impact, or loss of service of products you build and deploy using LLM output. You remain responsible for reviewing model output before acting on it in production systems. Provider-specific zero-retention and DPA terms are documented at /privacy#providers.

Force majeure

Neither party will be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond its reasonable control, including acts of God, fire, flood, earthquake, civil unrest, acts of war, sanctions or embargoes, network or power outages, interruptions to upstream cloud-provider infrastructure, denial-of-service attacks, malware or supply-chain compromise of third-party dependencies, or any equivalent event. Performance obligations resume as soon as the affected party is reasonably able to do so. Where a force-majeure event continues for more than thirty (30) consecutive days and materially impairs the Services, either party may terminate the affected subscription on written notice without liability for the unperformed portion of the term, and unused pre-paid fees will be refunded on a pro-rata basis.

General

Entire agreement & assignment

These Legal Terms — together with any policies or operating rules posted on the Services — constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision does not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time on notice; you may not assign or transfer your rights under these Legal Terms without our prior written consent.

Severability & construction

If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part is deemed severable and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them, and you waive any defences based on the electronic form of these Legal Terms.
